Professional Corporations (PCs)
Members of the Law Society of the Northwest Territories, both resident and non-resident, may make use of Professional Corporations.
The provisions governing Professional Corporations are set out in the Rules of the Law Society, beginning with Rule 150, as well as in the Professional Corporations Act.
Rules governing registration begin at Rule 152 for NWT Professional Corporations, and Rule 153 for Extra-Territorial Professional Corporations. If a member of the NWT Law Society has a Professional Corporation and it is licensed/registered/permitted in another jurisdiction, it must be registered in the NWT as well.
Before a Professional Corporation (territorial or extra-territorial) can be registered with the Law Society, it must be registered with GNWT Corporate Registries in order to obtain a Certificate of Registration of a (Extra-)Territorial Corporation.

You will need the following documents in order to complete the application: Certificate of Registration of a (Extra-)Territorial Corporation, current articles or bylaws and list of directors of the corporation.
The cost of registration is $305 plus GST and issuance of the annual permit is $155 plus GST.
Annual Permits must be renewed before January 1st each year. The cost of renewal of an annual permit is $155 plus GST .

You will need the following documents in order to complete the renewal: Certificate of Compliance of a (Extra-)Territorial Corporation, securities register, current articles or bylaws and list of directors of the corporation.
